Why Finanza Straordinaria?

The platform Finanza Straordinaria has been strongly intentional and is the result of various considerations. In the phase of transition between my activity of quotations to my passage to the management of a Private Equity Fund, I came across a sequence of inefficiencies that sometimes hinder and slow down (sometimes stopping) the completion of the deal. Contrarily to the quoted titles in Corporate Finance there is no transparency, liquidity and speed in the information cycle. Another impedimental element is the strong defence of the client. With Finanza Straordinaria, I want to give an answer for those problems supplying a concrete and operating solution and giving voice to an element that, keeping as a fix point the importance of confidentiality, I evaluate as fundamental: the Network.

How the idea was born?

The idea was born from my university's activity. The intention is to reduce the informative asymmetries respecting at the same time the requirements of the advisors’ job. The maxim of the website which I want to propose to you is in fact: "confidentiality like dogma, secrecy like limit".

The starting point for the reflection  

This website was created to become a necessary instrument for those involved into M&A. Particularly it wants to be the concrete application of what I’m preaching since I started my job in this field some years ago coming from a background of Stock Exchange quotations.

WE MUST GIVE LIQUIDITY to this market.  

Confidentiality like dogma, secrecy like limit

If we reflected well on the meaning of CONFIDENTIALITY AGREEMENT, on its content and the expectations that the customer has from the company at the moment he signs, we could surely say that CONFIDENTIALITY DOES NOT COINCIDE WITH SECRECY. Business opportunities are submitted to not more than a few people each time in order to decide if they are interested in or not. This is, to my opinion, deeply mistaken. The opportunities that we deal on behalf of our customers do not have to remain close to many of the professionals who engage themselves in this field, all very aware that the confidentiality is a dogma. . 

The proposal  

To create the space where everyone can post the Opportunities that is managing on behalf of own customers and render them notes to all the community of the M&A business (obviously not to them only because it is a BtoB activity). Therefore, it will be easier to find one contractor interested to estimate the deal. This would allow also to face to a triple motivation:

1.   To avoid conflict of interests: an Advisor should NEVER stay on both parts (vender - purchaser) for evident problems of conflict of interest.

2.   To repeat the great banks’ functioning: they have consisting trade arteries on the territory that interact with the operating team.

3.   Effective communication: there are currently 13 external professionals who work with me further on all the persons of the society in which I usually operate. Everyone necessarily demands to know what are "bubbles in pot", which is difficult to do constantly on personal basis, but much easier to bring it into action with the aid of instruments like Internet (technically constitution of reserved sub-Network).

  • Ownership’s Transfer, for the most part of the shares or totally, of a company of primary importance in merchandising sector, which operates over all the Italian territory and which has exclusive contracts with primary brands.
  • Ownership’s Transfer of a company of varnishing, located in the North of Italy. The company occupies a real estate of 7.000 m/sq with 2.500 m/sq roofing – (industrial area). The turnover is growing every year and now it is around 4-5 mil euro.
  • Search for a partner company of Business Intelligence. The partner should be ready to invest  capital in the project at the launch phase(no more than 400K euro), and possess  trade connections.
  • Acquisition of a well-known Italian food company. Turnover 9 Mil, EBITDA 30-35%

  • Selling of a company in Lombardia, which operates in engineering and installation of conditioning equipments, thermo hydraulics and sprinkler systems. Turnover 13.9 Mil €, EBITDA 1.1 Mil  €

The website has been thought in order to be a meeting point for the field’s operators, but due to the potential addresses’ limited number, the revenues’ stream will not derive from the classics banner. Finanzastraordinaria.it will instead offer its users ancillary services which will constitute the main source of revenues. At reason of example (not exhaustive): the translation of blind profile in at least seven languages, the sale of sector research necessary for your projects, the events’ organisation for the presentation of yours deals, in Italy or abroad and so on. Always and only with free adhesion, only if you’ll judge them useful to your goals.
